Terms & Conditions

• You must be at least 18 years old and capable of entering into a legally binding contract. If you use the Service on behalf of a business, you represent that you are authorised to bind that business to these Terms.
• You may register using Google sign-in or an email/password issued via a team invitation. You are responsible for all activity under your account and for keeping your credentials confidential.
• You must provide accurate, current, and complete information and keep it updated. We may suspend or terminate accounts with false, outdated, or fraudulent information.
• Workspaces, roles, and team members. The Service is multi-tenant. A workspace owner may invite Admins and Staff and assign roles. The workspace owner is responsible for the actions of all members they invite, and for ensuring members comply with these Terms.

Fozato is a software-as-a-service platform that uses artificial intelligence to help you create automated "video sales funnels." Depending on your plan, features may include:

• AI-generated scripts, narration, and assembled videos.
• AI-generated landing-page copy and a hosted public landing page.
• A lead-qualification funnel (the "HQLF"), including an optional small application fee, a qualification questionnaire and scoring, calendar/booking integration, and WhatsApp hand-off.
• A CRM with an AI sales-call assistant ("Closing AI").
• Optional short-form video generation and publishing to connected social platforms (where enabled).

We may add, modify, or discontinue features at any time. Some features depend on third-party services (e.g. Google, Meta, Razorpay) and on usage limits tied to your plan.

• Subscriptions. Paid features are offered on a subscription basis (billed annually unless stated otherwise at checkout). Prices, inclusions, and usage caps are shown on the pricing/checkout page at the time of purchase.
• Taxes. Unless stated otherwise, prices are exclusive of applicable taxes. GST (currently 18%) is charged on top of the listed price where applicable. You are responsible for any taxes arising from your use of the Service.
• Payment processor. Payments are processed by Razorpay. By purchasing, you also agree to Razorpay's terms. We do not store your full card details.
• Usage caps and overages. Plans include limits (e.g. number of funnels, Closing AI sessions, recording minutes, team seats, custom domains). Usage beyond included limits may require add-ons or overage charges at the rates shown in the Service.
• Renewals. Subscriptions renew at the then-current standard price unless cancelled before the renewal date. Promotional or launch pricing applies only to the stated term.
• Refunds. Cancellations and refunds are governed by our Refund & Cancellation Policy.
• Non-payment. If a charge fails or a subscription expires, we may suspend or downgrade access to paid features until payment is resolved.

You agree that you will not, and will not allow any member or third party to:

• Use the Service to create or distribute content that is unlawful, defamatory, deceptive, fraudulent, obscene, hateful, harassing, or that infringes any intellectual-property, privacy, or publicity right.
• Run any funnel, offer, or campaign that promotes illegal products/services, misleading financial or health claims, get-rich-quick schemes, or anything prohibited by the platforms (Google, Meta, WhatsApp, Razorpay, etc.) the Service connects to.
• Send unsolicited messages (spam), violate anti-spam or telemarketing laws, or contact leads who have not consented to be contacted.
• Reverse-engineer, decompile, scrape, resell, sublicense, or create derivative works of the Service except as expressly permitted by your plan (e.g. agency/reseller arrangements).
• Probe, attack, overload, or circumvent the security, rate limits, tenant isolation, or access controls of the Service; or attempt to access data belonging to other tenants.
• Upload malware, or use the Service to violate any applicable law, including data-protection laws such as India's Digital Personal Data Protection Act, 2023.

We may investigate suspected violations and may suspend or terminate access, remove content, and report unlawful activity to authorities.

• Ownership. You retain ownership of the business information, offers, brand assets, and lead/customer data you submit ("Your Content"). The AI-generated outputs created for you (scripts, videos, landing copy) are licensed to you for your own business use.
• Licence to operate. You grant us a limited, non-exclusive licence to host, process, transmit, and display Your Content solely to provide and improve the Service (for example, sending your business description to our AI providers to generate your funnel, or publishing a video to a platform you connected).
• Your responsibilities as a data controller. When you collect leads and customer data through funnels you run on the Service, you are the controller / data fiduciary of that data. You are responsible for having a lawful basis and valid consent to collect and process it, for your own privacy notice to your leads, and for honouring their rights. We act as your processor / data fiduciary's processor for that data.
• Accuracy of AI output. AI-generated content may contain errors or claims that are not suitable for your offer. You must review every output before publishing or using it, and you are solely responsible for the legality and accuracy of what you publish.

The Service integrates with third parties including Google (Sign-in, Gemini, Calendar, Gmail, YouTube), Meta (Pixel/Conversions API, Facebook, Instagram, Threads), LinkedIn, Pinterest, Tumblr, and Razorpay. Your use of those integrations is also subject to each provider's terms and policies. We are not responsible for the availability, accuracy, or actions of third-party services, and we may change or remove an integration if a provider changes or withdraws access.

The Service, including its software, design, trademarks, and the Fozato and Fozato names and logos, is owned by FOZATO SEO PRIVATE LIMITED and protected by intellectual-property laws. Except for the limited rights expressly granted to you in these Terms, no rights are transferred to you. You may not use our marks without prior written permission.

We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable for maintenance, updates, or factors beyond our control. Support is provided per your plan and during the hours listed on our Contact page.

To the maximum extent permitted by law, FOZATO SEO PRIVATE LIMITED and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of (or inability to use) the Service.

To the extent liability cannot be excluded, our total aggregate liability for all claims relating to the Service is limited to the amount you paid us for the Service in the three (3) months immediately preceding the event giving rise to the claim.

You agree to indemnify and hold harmless FOZATO SEO PRIVATE LIMITED from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your content, your funnels and offers, your handling of lead/customer data, or your breach of these Terms or of any law or third-party right.

• You may stop using the Service and request account deletion at any time (see our Privacy Policy and Refund & Cancellation Policy).
• We may suspend or terminate your access immediately if you breach these Terms, fail to pay, or use the Service in a way that creates legal or security risk.
• On termination, your right to use the Service ends. We may delete your data after the retention periods described in the Privacy Policy. Provisions that by their nature should survive (e.g. payment obligations, IP, disclaimers, liability, indemnity) survive termination.

We may update these Terms from time to time. Material changes will be notified by email or in the Service before they take effect. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance.

These Terms are governed by the laws of India. Subject to applicable law, the courts at Ernakulam, Kerala shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service. The parties will first attempt to resolve any dispute amicably by writing to support@fozato.com.
